SPICe+ Part B is the second part of the SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) form used for company incorporation in India. It is filed after the name reservation is approved in SPICe+ Part A. This form facilitates the incorporation of a company under the Companies Act, 2013. It covers multiple services, including company incorporation, Director Identification Number (DIN) allotment, PAN and TAN issuance, and GST registration. It allows applicants to apply for ESIC, EPFO, and Professional Tax registration. The form includes details about the company’s registered office address and proof of address documents. It requires details of directors and subscribers, including their identity and address proof. The company’s capital structure, including authorized and paid-up capital, must be specified. The Memorandum of Association (MOA) and Articles of Association (AOA) must be attached in digital format. A declaration by directors and subscribers confirming compliance with company laws is required. It requires a professional certification from a Chartered Accountant, Company Secretary, or Cost Accountant. The form is processed by the Central Registration Centre (CRC). Upon approval, the company receives a Certificate of Incorporation (COI). The COI contains the company’s Corporate Identification Number (CIN). DINs are allotted to the directors who do not have an existing DIN. The company’s PAN and TAN are generated automatically and sent via email. The company’s GSTIN is issued if applied for in the form. Professional Tax registration is applicable only for companies registered in Maharashtra. The entire filing process is conducted online through the MCA portal. Digital signatures (DSCs) of directors and professionals are mandatory for filing. The incorporation fee varies based on the company’s authorized capital. The process is designed to be completed within a few days if all documents are correct. Incorrect or incomplete filings may result in rejection or resubmission requests. The form simplifies the incorporation process by integrating multiple registrations. It reduces paperwork and improves compliance efficiency. Companies incorporated through SPICe+ are automatically registered with EPFO and ESIC. The process ensures better regulatory oversight and transparency. SPICe+ Part B must be filed along with Part A if name reservation was not done separately. If the name is already reserved, Part B must be submitted within 20 days of approval.
